Terms of Use

Last updated: 14 October 2026

These Terms of Use (the Terms) govern access to and use of Kadaleo's website, dashboard and related services (the Service), operated by the sole trader identified at the end of this page (Kadaleo, we, us). By creating an account you accept these Terms, including the Data Processing Agreement, and we record the version you accepted and when. The Privacy Policy explains how we handle personal data; it is information for you, not a contract term. If you do not agree, do not use the Service.

1. Business use only

  • The Service is for business and professional use only. We do not contract with consumers.
  • You must be at least 18 and have authority to bind the business you register. When you register, you confirm that you act for a business or a profession.
  • If the law nevertheless treats you as a consumer, the rights the law gives consumers apply.

2. The Service

Kadaleo is one system for a small business. It builds and hosts an AI-generated website with online booking; publishes to Instagram, Facebook Pages, Threads, X, TikTok (video), Pinterest, YouTube and Telegram channels with your approval; runs an AI agent that replies to your customers in WhatsApp, Instagram DM, Messenger, Telegram and email; keeps an Inbox, a CRM and bookings with Google Calendar sync; issues invoices and payment links and takes deposits and refunds through Stripe (cards and MB WAY); sends consent-based rebooking and feedback emails; offers an owner assistant (Business Coach) and team roles; and provides a dashboard in English, Russian and Portuguese.

We may change, add or remove features. If a change materially reduces core paid functionality, you may end the agreement and we refund you as described under Refunds.

3. Accounts

To use most of the Service you need an account.

  • Give accurate, current information when you register and keep it up to date, including your billing and tax details.
  • You are responsible for everything that happens under your account, including actions of team members you invite.
  • Keep your login credentials confidential and tell us immediately if you suspect unauthorised access.

4. Preview, trial and the free plan

You can create an account and prepare your setup before you choose a plan. The trial lasts 14 days, unless we agree a longer one with you in writing, and starts when you start your first website build. It needs no card, each owner gets one trial, and it never turns into a paid plan by itself: a paid plan starts only when you subscribe. If you subscribe during the trial, the first payment is taken when the trial ends; in its last two days it is taken when you subscribe, the trial then ends early and the first paid month starts that day. The step before payment shows which applies, with the amount and the date of the next payment. During the trial, publishing, online booking, AI replies, AI generation, automations and social publishing work within these limits: 50 AI content pieces, 100 AI replies to customers, 1 website build and €3 of Premium Usage for images, video and WhatsApp. The €3 is for the trial only: it ends with the trial, does not carry over and is never paid out. Buying or connecting your own domain needs a paid plan. When a trial or a paid plan ends without a new plan, the account moves to the free plan. What each paid plan includes each month is listed on the pricing page, kadaleo.com/pricing. On the free plan:

  • Kept on the free plan: your published site on a Kadaleo address, online booking, and your customer records, calendar and Inbox, which you use by hand. A domain that is already connected stays connected.
  • Not on the free plan: AI replies; AI generation (content, images, video and website builds); automations (follow-up and review requests, automated WhatsApp messages, Autopilot goals); social publishing; e-mail campaigns; invoices, payment links, deposits and online shop checkout; and buying or connecting a new domain.
  • Bookings: the free plan allows 100 bookings over the whole life of the account, not per month. Every booking counts, including cancelled ones and those made during the trial or a paid plan. At 100, no new booking can be made, online or by you, until you choose a plan; existing bookings stay.
  • Customers: on the free plan you can add or import customers by hand, or enter a booking for a new customer, while the account has fewer than 100 customer records. Deleting a record frees its place. Customers who write to you or book online are always recorded, whatever the number of records, and their messages always reach your Inbox.

We may change what the free plan includes. We tell you by email at least 30 days before a change that reduces it, unless the law or the security of the Service requires a faster change. You can export your data and stop using Kadaleo at any time, and a change never starts a paid plan by itself.

5. Subscriptions and cancellation

  • Plans are billed monthly in advance and renew automatically until cancelled.
  • You can cancel at any time in the dashboard. Cancellation takes effect at the end of the paid period.
  • Upgrades apply immediately and are billed as shown at checkout. Downgrades apply at the end of the period.
  • We give at least 30 days' notice of a price change. The new price applies from the first renewal that falls at least 30 days after the notice, never to a period you have already paid. If you do not accept it, cancel before that renewal.
  • If a payment fails, we tell you by email and the payment is retried. Meanwhile your site, online booking, customer records and Inbox keep working for manual use, while AI replies to customers, new AI generation (content, images, video and website builds), posts on X, e-mail campaigns and automated WhatsApp messages pause. If the payment still fails after the retries, the subscription ends and the account moves to the free plan. Nothing is deleted.
  • Payments are processed by Stripe. Kadaleo does not receive your full card details.

6. Refunds

When you cancel, started periods, unused allowances and the monthly Premium Usage amount are not refunded, and purchased Premium Usage is not refunded when you close the account yourself. We refund the unused prepaid part of your subscription and your unused purchased Premium Usage if we end the agreement without cause, or if you end it because of our material breach, because a change materially reduces core paid functionality, or because you do not accept a material change to these Terms. If we end the agreement because of your material breach, we refund unused purchased Premium Usage after deducting any amounts you owe us. Premium Usage given as a bonus, promotion or trial is never paid out. The rights the law gives you if we fail to perform are not affected.

7. VAT and invoices

Prices exclude VAT. We charge VAT as the law requires, including reverse charge for a verified EU VAT number. You must keep your tax details correct. Invoices are issued electronically.

8. Allowances and Premium Usage

  • The monthly allowances and the monthly Premium Usage amount of your plan reset each period and do not carry over.
  • Premium Usage granted for a trial expires when the trial ends.
  • Purchased top-ups do not expire while your account is open. When you close the account yourself they lapse and are not refunded; the cases in which we refund them are listed under Refunds.

9. Domains

Domains are registered through our registrar in your business's name. The annual fee is paid in advance and is not refundable. Domains renew automatically unless you switch renewal off. You may transfer a domain out at any time, and it stays yours after the agreement ends. Buying or connecting a domain needs a paid plan; a domain already connected stays connected when a trial or a plan ends.

10. Payments from your customers (Stripe Connect)

When you take payments from your own customers through Kadaleo, you are the seller and the merchant of record. Stripe's Connected Account Agreement applies to your Stripe account. Refunds, chargebacks, Stripe fees and taxes on those sales are yours. Kadaleo does not hold your customers' funds.

11. Your customers' data and your duties

  • You are responsible for the lawful basis and the privacy notices for your own customers' data.
  • Message customers on WhatsApp outside the 24-hour window only with their opt-in, and honour STOP and other opt-outs. Send email that needs consent only to people who gave it.
  • Do not hide, remove or contradict the AI notice that Kadaleo adds to AI replies.
  • Keep the facts about your business (services, prices, hours) accurate.
  • Do not load special-category data, such as health data, unless it is strictly necessary and lawful.
  • If you publish AI-generated images, video or audio that look like real people, places or events, or AI-generated text that informs the public on matters of public interest, label it as AI-generated where the law requires it.
  • You are the seller to your customers. Give them the information consumer law requires: who you are, final prices including VAT, the right of withdrawal where it applies, the complaints book and alternative dispute resolution. Kadaleo shows this on a legal information page on your website, built from your business and tax details; keep those details complete and accurate.
  • Enter prices as your customers pay them, VAT included.

12. Data processing

For personal data we process on your behalf, the Data Processing Agreement forms part of these Terms. For personal data we use as a controller, see the Privacy Policy.

13. Acceptable use

You agree not to use the Service to:

  • Break the law or the rights of any third party, including intellectual property and privacy rights
  • Send spam, unsolicited messages, or content that violates the policies of the platforms you connect (WhatsApp, Instagram, Messenger, Telegram, TikTok, X, Pinterest, YouTube, email and others)
  • Upload or generate content that is fraudulent, defamatory, obscene, or that misrepresents your business
  • Attempt to gain unauthorised access to the Service, other accounts, or the systems behind it, or scrape the Service
  • Reverse-engineer, resell, or use the Service to build a competing product
  • Offer goods, services or content that the connected platforms prohibit

14. Illegal content and notices (Digital Services Act)

  • Point of contact for authorities and for users, including people who are not customers: legal@kadaleo.com, in English or Portuguese.
  • Anyone can tell us about content on a website or post Kadaleo hosts that they consider illegal. Write to legal@kadaleo.com with the exact web address, why you consider it illegal, your name and email address (not needed when reporting child sexual abuse material), and a statement that you believe in good faith that the notice is accurate and complete.
  • We confirm receipt, decide on the notice diligently and objectively, and tell you and the business concerned what we decided and how to contest it.
  • When we remove or restrict content or suspend a service because content is illegal or breaks these Terms, we give the business a statement of reasons. You can ask us to review the decision by replying to it.
  • The rules for content are in Acceptable use and Connected platforms above. We moderate on notice and do not use automated tools to remove content.

15. Connected platforms and third-party services

The Service connects to platforms you choose to link: Meta (Instagram, Facebook, Threads, Messenger and WhatsApp), TikTok, Pinterest, X, Telegram, YouTube and other Google services, and Stripe. You must comply with their terms and policies, including the Meta Platform Terms, the WhatsApp Business Terms and Messaging Policy, TikTok's terms and developer rules, the Google APIs Terms of Service, and the terms of X, Pinterest and Telegram. If you connect a YouTube channel, Kadaleo publishes to it through YouTube API Services, and by using Kadaleo's YouTube features you agree to be bound by the YouTube Terms of Service (https://www.youtube.com/t/terms). A platform may limit or withdraw access at any time, and we may disconnect an account that a platform flags. We are not responsible for a platform's own decisions, availability or behaviour, which are outside our control. This does not reduce our responsibility for the features we provide, for the providers we choose, for how we integrate and configure them, or for how we protect your data.

16. Your content

You keep ownership of the content you provide (business information, photos, text, customer data) and of the content generated for you through the Service. You give Kadaleo a licence to host, process and display it, and to share it with our providers, only as needed to provide, secure and maintain the quality of the Service. We do not sell your content or your customers' data, and we do not use them to train AI models.

17. AI-generated content

Kadaleo uses AI to draft website copy, social posts, chat replies and business recommendations. AI output can be wrong and is not professional advice. You decide where automated replies are used (switched on or off per channel), you approve social posts before they are published, and you can take over any conversation. Kadaleo itself tells your customers that they are talking to an AI assistant: in the first message of a conversation (and again after 30 days), in a footer on emails, and on public comment replies the assistant posts by itself. You may not hide or remove that notice. Images and videos that Kadaleo generates carry a machine-readable marking in the file that they were made by AI (the IPTC “digital source type” metadata), and a video Kadaleo publishes to TikTok or YouTube is also flagged as AI-generated there. Some networks strip file metadata on upload, so a visible label, where the law requires one, remains your responsibility. You must review content that needs your approval. As between you and Kadaleo, you own the output to the extent the law allows.

  • AI agent replies. The AI agent answers your customers from the facts you keep in Kadaleo (services, prices, durations, hours, policies) and is instructed not to state prices or availability it does not have. A reply with a price that does not follow from your price list or your facts (a listed price, a multiple or total of listed prices, or a discount or share you state) is not sent, and the conversation is handed to you. Any contract that follows from a conversation is between you and your customer; Kadaleo is not a party to it. If a reply states a price, availability or condition that contradicts your facts as they were in Kadaleo at that moment, and this is caused by a defect in the Service, Kadaleo is liable to you under Limitation of liability. You remain responsible for facts that are missing, outdated or wrong, for honouring or correcting a price towards your customer as consumer law requires, and for the conversations the agent hands over to you.
  • Under the EU AI Act Kadaleo is the provider of the agent and you are its deployer. Before you switch automated replies on, make sure the people in your team who work with it know how it works and where its limits are; the help page explains both (kadaleo.com/help, “How does the AI agent work, and where are its limits?”).

18. Our intellectual property

The Kadaleo platform itself, including its software, design, branding and underlying technology, is owned by Kadaleo and protected by intellectual property law. These Terms give you no rights to our trademarks, source code or platform design beyond what is needed to use the Service normally.

19. Feedback

If you give us feedback, we may use it without obligation to you.

20. Beta and preview features

Beta and preview features are provided as is, may change or end at any time, and may carry separate conditions shown with the feature.

21. Availability and support

We do not promise uninterrupted service or a service level. We may schedule maintenance windows. Support is by email and in the app.

22. Suspension and termination

  • We may suspend the Service for abuse, legal risk, or a risk flagged by a connected platform. Non-payment has only the consequences set out under Subscriptions and cancellation: paid features pause, and the account moves to the free plan.
  • Either party may terminate for the other's material breach that is not cured within 14 days of notice. No cure period applies to abuse or illegality.
  • We may terminate without cause on 30 days' notice, and we then refund the unused prepaid period and your unused purchased Premium Usage.
  • You may cancel at any time, as set out under Subscriptions and cancellation.

23. Leaving Kadaleo

In line with the EU Data Act, you can switch to another provider or leave Kadaleo with no switching fees, and we never ask for more than two months' notice: you can leave at the end of any paid period. To switch, tell us in the app or at legal@kadaleo.com. During a transition period of up to 30 days the Service keeps running and we give you reasonable help to move. You can export your data at any time in Settings under Export your data: a ZIP file with your data in JSON, your customer list in CSV and links to your photos and videos. The export stays available for 30 days after the agreement or the transition period ends. To leave completely, cancel your plan and close the account in Settings under Close account: AI replies and sending stop at once, and during those 30 days you can export your data or cancel the closure. The data is then deleted, as described in the Privacy Policy.

24. Disclaimers

The Service is provided as is and as available. We do not guarantee that it will be uninterrupted or error-free, or that AI-generated content will always be accurate. To the extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose. This does not affect our duty to provide the features described for your plan with reasonable care, or any liability that the law does not allow us to exclude.

25. Limitation of liability

For our contractual liability for ordinary negligence, our total liability for any claim relating to the Service is limited to the greater of the fees you paid us in the 3 months before the event giving rise to the claim and €100, and we are not liable for indirect loss or lost profits. We are not liable for the loss of data that you could have restored from your own export; this does not limit our duty to keep data secure or our liability for breaching it. None of these limits applies to liability for intent or gross negligence, including that of the people and providers we use to perform the Service; for death or personal injury; to non-contractual liability that the law does not allow to be limited; to the rights of data subjects under the GDPR; or to anything else the law does not allow to be limited or excluded.

26. Indemnity

You will indemnify Kadaleo against third-party claims, and the losses and reasonable costs that follow from them, to the extent they are caused by your content, your messaging and consents, your breach of a connected platform's terms, or your breach of these Terms. This does not cover a claim caused by Kadaleo's own breach or fault; where both of us contributed, each bears its own share. We will tell you promptly about a claim, let you take part in its defence, and not settle it in a way that binds you without your consent.

27. General

  • Force majeure: neither party is liable for delay or failure caused by events beyond its reasonable control, except for payment obligations.
  • Confidentiality: each party keeps the other's non-public information confidential and uses it only for this agreement.
  • Assignment: neither party may transfer its position under these Terms to someone else without the other's consent, except where the law itself makes the transfer happen. If Kadaleo's business moves to a company, for example a Lda run by the same operator, we will ask for your consent to transfer the agreement to that named company; if you do not consent, either of us may end the agreement on 30 days' notice, and we refund the unused prepaid period and your unused purchased Premium Usage. Kadaleo may assign payment claims.
  • Notices: by email to the account address or to legal@kadaleo.com.
  • Entire agreement: these Terms and the Data Processing Agreement are the whole agreement between us. The Privacy Policy describes our own handling of personal data and is not a contract term.
  • Severability and no waiver: an invalid clause does not affect the rest, and not enforcing a right is not a waiver of it.

28. Governing law and courts

These Terms are governed by Portuguese law. For disputes between you and Kadaleo arising from these Terms, the courts of the Comarca da Madeira (Funchal) have exclusive jurisdiction, as far as the law allows such a choice. This clause does not bind the people whose personal data we process, does not limit anyone's rights under the GDPR or the powers of supervisory authorities, and does not override mandatory law or the Standard Contractual Clauses where they apply.

29. Changes to these Terms

We may update these Terms. For a material change we notify you by email or in the dashboard at least 30 days before it applies, and the new text is on this page from that moment. If you do not accept it, you may end the agreement before the change applies, and we refund the unused prepaid period and your unused purchased Premium Usage. If you have not ended the agreement by then, the new version applies from that date.

30. Language

These Terms are written in English, and the English version prevails. The Russian and Portuguese versions are translations for convenience.
